ENERTIA FLOW — TERMS & CONDITIONS

Before You Purchase Please read these Terms and Conditions carefully before completing your payment. By purchasing access to the Enertia DealFlow System, you agree to be bound by these terms in their entirety.

SECTION 01 — ACCEPTANCE OF TERMS

By accessing, purchasing, or using any products or services offered through Enertia Flow (accessible at realtors.enertiaflow.com), you ("Client," "User," or "you") agree to be legally bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional agreements or order forms executed between you and Enertia Flow LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, you must not complete your purchase or use our services. Your payment constitutes your electronic signature and full agreement to these Terms.

SECTION 02 — DESCRIPTION OF SERVICES

Enertia Flow provides a done-for-you CRM setup, automation, pipeline management, and deal flow optimization system designed for real estate professionals ("the Enertia DealFlow System" or "the Service"). Services may include:

• CRM configuration, setup, and integration

• Automated follow-up sequences and lead routing

• Contact and pipeline migration from existing tools

• Ongoing system management, optimization, and support

• Access to proprietary workflows, templates, and automation frameworks

• Onboarding calls and technical implementation support

The exact scope of services will be defined in your order confirmation or onboarding agreement. Enertia Flow reserves the right to modify, update, or discontinue any feature of the Service with reasonable notice.

SECTION 03 — PAYMENT & BILLING

All fees are charged as outlined on the product page at the time of purchase. By providing your payment information, you authorize Enertia Flow to charge the stated amount via the selected payment method.

• One-Time Setup Fee: Covers full system build, migration, and initial automation activation. Charged at time of purchase.

• Recurring Monthly Fee: Covers ongoing system management, support, and optimization. Billed monthly to the card on file.

• Third-Party Software: Costs for third-party CRM or tool subscriptions are separate and the Client's responsibility unless otherwise stated.

All prices are in USD. Taxes may apply depending on your jurisdiction. Failure to maintain a valid payment method on file may result in suspension of service.

Recurring Billing Notice: If your plan includes a monthly subscription, your card will be charged automatically on the same calendar date each month until you cancel. You are responsible for cancelling prior to the next billing cycle if you do not wish to be charged.

SECTION 04 — REFUND POLICY

Due to the done-for-you nature of our services — where significant labor, resources, and proprietary system access are committed upon purchase — our refund policy is as follows:

• Setup fees are non-refundable once onboarding has commenced (defined as the delivery of your intake questionnaire or first onboarding call).

• Monthly subscription fees are non-refundable for the current billing period. You may cancel anytime to stop future charges.

• Refund requests submitted within 48 hours of purchase and prior to any onboarding activity may be considered at the Company's sole discretion.

• No refunds will be issued for dissatisfaction with results, as outcomes depend on factors outside of Enertia Flow's control (e.g., client responsiveness, market conditions).

SECTION 05 — ACCEPTABLE USE

You agree to use the Enertia DealFlow System solely for lawful business purposes in connection with your real estate practice. You must not:

• Share, resell, or sublicense access to the system or any proprietary materials without written consent

• Use the system to send unsolicited communications (spam) in violation of applicable law

• Attempt to reverse-engineer, copy, or replicate Enertia Flow's workflows, automation templates, or proprietary methods

• Misrepresent your identity, credentials, or affiliation when using the system

• Engage in any activity that disrupts the service or the experience of other clients

Violation of these terms may result in immediate termination of your account without refund.

SECTION 06 — INTELLECTUAL PROPERTY

All content, workflows, automation sequences, templates, training materials, and methodologies provided by Enertia Flow are the exclusive intellectual property of Enertia Flow LLC and are protected by copyright, trade secret, and other applicable laws.

Upon payment, you receive a limited, non-exclusive, non-transferable license to use the Service for your own real estate business. This license does not grant you ownership of any Enertia Flow materials. Upon termination of your subscription, your access to Company-owned materials and systems will cease.

You retain ownership of your own data, contacts, and client information at all times.

SECTION 07 — DATA & PRIVACY

By engaging our services, you authorize Enertia Flow to access, import, and manage data you provide (including contacts, conversations, and appointment records) for the sole purpose of building and operating your system.

• Your data is never sold or shared with third parties for marketing purposes.

• All data handling is conducted in accordance with our Privacy Policy.

• We use industry-standard security practices to protect your data.

• Upon cancellation, you may request an export of your data within 30 days.

You are responsible for ensuring that any data you provide complies with applicable privacy laws (e.g., CAN-SPAM, TCPA) and that you have the proper rights and consents for the contacts in your database.

SECTION 08 — DISCLAIMERS & NO GUARANTEES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ENERTIA FLOW MAKES NO WARRANTY, EXPRESS OR IMPLIED, THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE SPECIFIC RESULTS.

Income Disclaimer: Any revenue figures, pipeline growth statistics, or efficiency metrics referenced on our website (including "140% avg. pipeline growth," "3.2x efficiency multiplier," and "$840M+ capital processed") are illustrative of what is possible and are not guarantees of your individual results. Real estate business outcomes depend on market conditions, your effort, experience, and numerous factors outside our control.

We do not guarantee any specific number of leads, closed deals, or revenue outcomes as a result of using the Enertia DealFlow System.

SECTION 09 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENERTIA FLOW LLC, ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total cumulative liability to you for any claims arising from or related to these Terms shall not exceed the total amount paid by you to Enertia Flow in the three (3) months preceding the claim.

SECTION 10 — TERMINATION

Either party may terminate the service relationship as follows:

• By You: You may cancel your monthly subscription at any time by providing written notice to [email protected]. Cancellation takes effect at the end of the current billing period.

• By Enertia Flow: We reserve the right to suspend or terminate your access immediately for breach of these Terms, non-payment, or conduct that we determine is harmful to our business or other clients.

• Upon termination, all licenses granted to you cease. Provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.

SECTION 11 — CHANGES TO TERMS

Enertia Flow reserves the right to update or modify these Terms at any time. We will provide at least 14 days' notice of material changes via email to the address on file or via a notice on our website. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.

It is your responsibility to review these Terms periodically. The most current version will always be available at realtors.enertiaflow.com/terms.

SECTION 12 — GOVERNING LAW & DISPUTES

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Enertia Flow LLC is registered, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association's rules. You waive your right to a jury trial or class action participation.

SECTION 13 - No Performance-Based Claims Clause

Client acknowledges and agrees that any results, revenue, conversions, or business outcomes are not guaranteed. All outcomes depend on a variety of external factors, including but not limited to the Client’s own effort, sales ability, pricing, offer quality, market conditions, competition, and economic environment.

The Service Provider makes no representations, warranties, or guarantees regarding specific performance outcomes, financial gains, or business success.

SECTION 14 — Service Downtime & Third-Party Dependency

Client acknowledges that service delivery may rely on third-party platforms and systems, including but not limited to Enertia Flow, SMS providers, email service providers, API integrations, hosting services, and other external tools.

The Service Provider shall not be held liable for any delays, disruptions, failures, or loss of functionality caused by:

-Enertia Flow downtime or service interruptions

-SMS delivery failures or carrier issues

-Email delivery issues or spam filtering

-API failures, changes, or deprecations

-Hosting or infrastructure outages

-Any other third-party system failures outside the Service Provider’s direct control

The Service Provider will make reasonable efforts to restore functionality where possible but does not guarantee uninterrupted service availability.
